Work Pass Terms and Conditions
Terms version: 2026-10-03. Applies only to new purchases that accept this version; existing agreements remain unchanged.

- Time is assigned to a task in 15-minute increments. Waiting and customer review use no time.
- The scope is flexible, but purchased capacity is fixed. Prices include applicable taxes and mandatory fees.
1. Agreement and business use
These terms form a business-to-business agreement between TROPIKAL LLC and the purchasing customer. Checkout records the authoritative terms version 2026-10-03 with the purchase. A signed agreement controls where it expressly differs.
2. What a Work Pass purchases
A Work Pass purchases prepaid expert delivery capacity, not a fixed scope, guaranteed outcome, dedicated employee, or consecutive schedule. It may be used for accepted strategy, research, architecture, design, content, development, integration, testing, documentation, meetings, handoff, and supervised release work.
We normally work on one clear priority at a time. Estimates and roadmaps are good-faith planning aids unless a signed agreement makes a date or deliverable binding.
3. Time records
Only explicit active time entries consume capacity. Each entry is assigned to a customer task and recorded in 15-minute increments. A billable meeting consumes its actual recorded duration. Waiting, unattended delays, free fit calls, Blueprint-included meetings, and customer review consume no capacity.
Requested revisions, new requirements, preference changes, third-party failures, and customer-caused changes consume recorded time. TROPIKAL corrects a verified implementation defect reported within 30 days without consuming capacity when it concerns previously agreed behaviour and was caused by TROPIKAL.
4. Scheduling, recharge, and expiry
Purchasing capacity does not reserve consecutive dates. Work is scheduled according to dependencies and availability. Customers may recharge before a pass is exhausted. Capacity expiring first is used first.
Validity runs from purchase. Customer review does not pause expiry. A delay caused by TROPIKAL extends validity by the corresponding period. Unused expired capacity has no cash value and is non-refundable or transferable except where law requires otherwise.
5. MVP + Blueprint and credit
A paid CHF 495 MVP + Blueprint delivers a working, tightly scoped MVP and a blueprint. The scope and acceptance criteria are agreed before work starts; this does not promise a complete website or business system. Its full price may be credited once toward an eligible Medium or Large Work Pass purchased within 30 calendar days after Blueprint delivery. It cannot be used for the Small Work Pass, reused, transferred, or exchanged for cash. The free Website AI Action Map is lightweight guidance and is not a Blueprint.
6. Fees, costs, and refunds
Checkout prices are in CHF and include applicable taxes and mandatory fees. Hosting, licences, media, advertising, and other approved third-party costs are separate. Third-party costs require separate approval before they are incurred. Work Pass purchases are non-refundable except where a signed agreement, these terms, or applicable law says otherwise.
7. Cooperation and outcomes
The customer must provide lawful materials, timely access, accurate requirements, decisions, and feedback. TROPIKAL uses commercially reasonable skill and care but does not guarantee revenue, profitability, conversion, rankings, adoption, uninterrupted operation, universal compatibility, or regulatory approval.
8. Intellectual property and confidentiality
After full payment, the customer owns transferable customer-specific final deliverables. TROPIKAL retains pre-existing technology, reusable components, methods, libraries, tools, and know-how, licensing retained material as needed to use the paid deliverable. Each party will reasonably protect the other’s non-public information.
9. Suspension, warranty, and liability
TROPIKAL may pause or terminate work for nonpayment, abuse, unlawful instructions, security risk, infringement, or material breach. Except for express commitments and to the fullest extent permitted by law, services are provided “as is.” TROPIKAL’s aggregate liability for a pass will not exceed the amount paid for that pass; legally non-excludable liability remains unaffected.
