1. Agreement to Terms

These Terms apply when you use tropikal.dev, contact forms, project inquiries, booking links, developer content, case studies, research notes, service pages, and related developer-site services. "TROPIKAL," "we," "us," and "our" refer to TROPIKAL LLC, a Wyoming limited liability company. "You" means the person or business using this site or requesting developer services. This site and developer services are intended for business and professional use, not for personal, family, or household purposes.

The TROPIKAL AI platform is covered by separate platform terms at tropikal.ai/terms. If you have a signed agreement with TROPIKAL, that agreement controls where it conflicts with these Terms.

2. Site and Service Status

Content, tools, forms, prototypes, previews, and developer-service materials on this site may change, break, be removed, be rate-limited, or be unavailable. TROPIKAL does not promise uptime, accuracy, revenue, rankings, bookings, leads, compliance, security outcomes, or business outcomes unless those commitments are stated in a signed written agreement.

This site and developer services are not designed for emergency, life-safety, regulated, or high-risk decisions. Do not rely on them as the sole system for urgent requests, professional advice, safety-critical operations, or legally regulated decisions.

3. AI-Assisted Materials

This site or related developer services may use AI-assisted tools to prepare drafts, answer inquiries, summarize information, support project scoping, or assist operations. AI output can be wrong, incomplete, biased, unsafe, outdated, or unsuitable for your use case.

• You are responsible for reviewing AI output before publishing it, sending it to customers, using it in business workflows, or relying on it for a decision.
• AI-generated estimates, timelines, prices, recommendations, and summaries are informational only unless confirmed by an authorized person.
• AI output is not legal, medical, financial, tax, employment, insurance, safety, emergency, or other professional advice.
• Customer-facing AI interactions must be disclosed where required by law, platform rules, or the context of the interaction.

4. Content and TROPIKAL IP

TROPIKAL owns or licenses the software, templates, designs, documentation, workflows, prompts, orchestration, interfaces, site content, and other materials made available through this site or developer services. You may not copy, resell, reverse engineer, or misuse them unless TROPIKAL gives written permission.

You keep ownership of your business information, brand assets, uploaded content, prompts, instructions, and other materials you provide, subject to any signed agreement and third-party rights. By submitting content through this site or a developer-service inquiry, you give TROPIKAL permission to use it as needed to respond, scope work, provide services, secure systems, support you, troubleshoot issues, and improve TROPIKAL services.

5. Copyright Complaints

TROPIKAL responds to copyright-infringement notices that comply with the Digital Millennium Copyright Act (DMCA). TROPIKAL's designated-agent registration with the U.S. Copyright Office is pending; until it is complete, send copyright notices with the elements required by 17 U.S.C. § 512(c)(3) (identification of the work, the location (URL) of the material, your contact details, good-faith and accuracy statements, and your signature) to dmca@tropikal.dev with "DMCA Notice" in the subject line. TROPIKAL may remove or disable access to material identified in a valid notice and terminates repeat infringers in appropriate circumstances.

6. Fees and Payment

Developer services are quoted and billed under the applicable proposal, statement of work, order, or invoice. Displayed TROPIKAL prices include applicable taxes and mandatory fees. Approved third-party costs are separate and are agreed before they are incurred. Fees are due as invoiced; quotes and estimates are informational until confirmed in writing by an authorized person; and TROPIKAL may pause or decline work on accounts with unpaid fees after reasonable notice. Except where required by law or stated in a signed agreement, fees for delivered work are non-refundable. This prospective version does not change historical purchases or signed agreements.

7. Customer Responsibilities

You are responsible for the accuracy and legality of information you submit, including business details, project requirements, credentials or access materials you choose to provide, website content, brand assets, and legal or regulatory requirements that apply to your business.

Do not use this site or developer services for unlawful activity, deception, impersonation, spam, malware, credential theft, scraping abuse, harassment, hate, violence, privacy violations, intellectual-property infringement, unsafe AI workflows, or regulated decisions without proper written approval and human review.

8. Third-Party Services

This site and developer services may rely on third-party providers for hosting, AI models, payments, email, messaging, analytics, customer websites, OAuth integrations, customer-selected providers, and support tooling. Those providers have their own terms and privacy policies.

TROPIKAL is not responsible for third-party services, customer systems, customer websites, or integration behavior outside TROPIKAL's control.

9. Records and Retention

TROPIKAL may keep inquiry records, project records, support records, security logs, billing records, and abuse-prevention records. These records may survive deletion of related messages, files, or site submissions where needed for security, accountability, legal, billing, backup, dispute, or abuse-prevention reasons.

10. Availability, Suspension, and Termination

TROPIKAL may change, limit, suspend, or stop parts of this site or developer services. TROPIKAL may also suspend access or stop work when needed to address unpaid fees, security risk, abuse, legal risk, or misuse.

You may stop using this site at any time. Terms that should reasonably survive termination, such as payment duties, confidentiality, IP ownership, disclaimers, limits of liability, indemnity, dispute terms, and data handling duties, continue to apply.

11. Warranty Disclaimer

To the fullest extent permitted by applicable law, this site, developer-service materials, previews, prototypes, and AI output are provided "as is" and "as available." TROPIKAL disclaims all warranties not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and error-free operation.

12. Limitation of Liability

To the fullest extent permitted by applicable law and subject to any signed agreement, TROPIKAL will not be responsible for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, loss-of-goodwill, business-interruption, data-loss, or third-party-claim damages arising from or related to this site or developer services.

To the fullest extent permitted by applicable law, TROPIKAL's aggregate liability arising out of or related to this site or developer services will be limited to the greater of the amounts you paid to TROPIKAL for the applicable service in the previous three months or USD $100.

Some laws do not allow certain limits, exclusions, or caps, so some terms may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnity

You are responsible for claims, losses, and costs that arise from your content, your connected systems, your misuse of this site or developer services, your violation of these Terms, your violation of law, your infringement of third-party rights, or your use of AI-assisted output without required review.

14. Dispute Resolution, Governing Law, and Venue

Before filing a claim, send a written description of the dispute to contact@tropikal.dev with "Legal" in the subject line, or to the postal address in Section 16. Both sides will try in good faith to resolve the dispute informally within 30 days of the notice before starting formal proceedings.

These Terms are governed by Wyoming law, without regard to conflict-of-law rules. To the fullest extent permitted by applicable law, disputes must be brought individually (not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding) in the state courts located in Laramie County, Wyoming or the United States District Court for the District of Wyoming. Either party may instead bring an individual claim in small-claims court where jurisdiction and venue requirements are met, and TROPIKAL may seek injunctive or equitable relief in any court with jurisdiction.

To the fullest extent permitted by applicable law, any claim arising out of or related to this site or developer services must be filed within one year after the claim accrued, or it is permanently barred.

15. Changes to These Terms

TROPIKAL may update these Terms from time to time. The "Last updated" date at the top shows the current version. For material changes, TROPIKAL will give reasonable notice, such as a notice on this site or an email where we have an ongoing service relationship. Changes apply prospectively; continued use of this site or developer services after a change takes effect means you accept the updated Terms.
